These Terms of Use (“Terms”) govern access to and use of RiseOpp.com and other webpages operated by RiseOpp, Inc. that link to these Terms (collectively, the “Site”).
1. Acceptance of These Terms
By accessing or using the Site, you agree to these Terms and acknowledge the Website Privacy Policy. If you do not agree, do not use the Site. If you use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
2. Scope of the Site and Separate Client Agreements
The Site provides information about RiseOpp and its marketing, strategy, SEO, GEO, AEO, AI visibility, content, advertising, fractional CMO, and related services. These Terms govern use of the public Site. Any proposal, statement of work, master services agreement, data-processing addendum, nondisclosure agreement, or other written agreement between RiseOpp and a client controls the applicable professional engagement. If a client agreement conflicts with these Terms, the client agreement controls for that engagement.
3. Informational Content; No Guarantee of Results
Site content is provided for general informational and promotional purposes. It is not legal, tax, accounting, investment, cybersecurity, or other regulated professional advice. Marketing performance depends on many factors outside RiseOpp’s control, including market conditions, competition, platform policies, search and recommendation algorithms, client implementation, budgets, product-market fit, and third-party services. RiseOpp does not guarantee rankings, traffic, visibility in AI-generated answers, leads, conversions, revenue, media placement, or any other particular result from information on the Site.
4. Changes to the Site or Terms
RiseOpp may update the Site and these Terms from time to time. The “Effective date” indicates when these Terms were last revised. Changes become effective when posted unless a later date is stated. Continued use after an update constitutes acceptance of the revised Terms to the extent permitted by law.
5. Eligibility and Permitted Use
You may use the Site only for lawful purposes and in compliance with these Terms. The Site is intended for business and adult audiences and is not directed to children under 13.
6. Prohibited Conduct
You may not, and may not attempt to:
- Use the Site in violation of law, regulation, another person’s rights, or a contractual obligation.
- Interfere with the Site’s security, availability, integrity, or proper operation; introduce malicious code; or attempt unauthorized access.
- Use bots, scrapers, crawlers, or automated means to access or extract Site content in a manner that imposes an unreasonable burden, circumvents controls, or violates applicable law, except for ordinary search-engine indexing authorized by RiseOpp.
- Copy, reproduce, republish, sell, license, distribute, modify, or create derivative works from Site content except as expressly permitted by RiseOpp or applicable law.
- Misrepresent your identity or affiliation, submit false or misleading information, impersonate another person, or use the Site to transmit unlawful, infringing, defamatory, abusive, or deceptive material.
- Use Site content, branding, or data to train, test, or improve a commercial artificial-intelligence or machine-learning system without RiseOpp’s written permission, except where such restriction is prohibited by law.
7. Information and Materials You Submit
If you submit an inquiry, message, document, idea, feedback, or other material through the Site, you represent that you have the right to provide it and that it does not violate law or third-party rights. Do not submit confidential information, trade secrets, credentials, regulated data, or sensitive personal information through a general website form unless RiseOpp specifically requests it through an approved secure channel.
You retain ownership of materials you submit. You grant RiseOpp a nonexclusive right to use, reproduce, and share them as reasonably necessary to respond to your request, evaluate a potential engagement, provide requested information, operate and protect the Site, and comply with law. Feedback about RiseOpp or the Site may be used without restriction or compensation, provided RiseOpp does not publicly identify you without permission.
8. Intellectual Property
The Site and its text, design, graphics, logos, trademarks, audio, video, software, reports, methodologies, and other content are owned by RiseOpp or its licensors and are protected by intellectual-property laws. RiseOpp grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for your own lawful internal or informational purposes. No other rights are granted by implication, estoppel, or otherwise.
9. Third-Party Services, Links, and Embedded Content
The Site may link to or embed services and content operated by third parties, including analytics providers, forms, spam-prevention tools, podcast players, social networks, scheduling services, payment providers, and other platforms. Third parties control their own services and privacy practices. RiseOpp is not responsible for third-party content, availability, security, terms, or practices. A link or reference does not necessarily constitute endorsement.
10. Portfolio Items, Testimonials, and Examples
Case studies, testimonials, examples, and past results describe specific circumstances and do not promise similar outcomes. Names, marks, and content belonging to clients or other third parties remain the property of their respective owners. Any illustrative, hypothetical, AI-assisted, or simulated material may not reflect actual client results.
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR SECURITY. RISEOPP DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RISEOPP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SITE, EVEN IF ADVISED OF THE POSSIBILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR AGGREGATE LIABILITY ARISING FROM THE PUBLIC SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless RiseOpp and its officers, directors, employees, contractors, and affiliates from claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use of the Site, your violation of these Terms, or materials you submit. RiseOpp may control the defense of a matter subject to indemnification, and you agree to cooperate reasonably.
14. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Unless a separate written agreement provides otherwise, any dispute arising from the Site will be brought in the state or federal courts located in San Francisco County, California, and each party consents to personal jurisdiction and venue there. Nothing in this section limits rights available under mandatory consumer-protection law.
15. Severability; Waiver; Assignment
If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without RiseOpp’s written consent. RiseOpp may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
